Welcome to Contextora, a Software as a Service (SaaS) application that allows users to perform AI research across a variety of AI models and platforms. By using our service, you agree to these Terms and Conditions. Please read them carefully.

Definitions

"Service" refers to the Contextora application and website.
"User" refers to any individual or entity using the Service.
"Connected Accounts" refers to any AI models and platforms that a User links to the Service.

1. User Data Ownership

1.1 By using Contextora, you ("User") affirm that all data imported, uploaded, or otherwise entered into the Contextora SaaS application ("Service") is owned by you or that you have the necessary rights and permissions to use such data within the Service.

1.2 Contextora does not claim ownership of any data imported by Users into the Service. All rights, title, and interest in and to such data remain with the User.

2. User Responsibilities

2.1 Users are solely responsible for ensuring they have the legal right to import, use, and process all data entered into the Service.

2.2 Users agree to indemnify and hold Contextora harmless from any claims, damages, or losses arising from the User's import or use of data they do not have the right to use within the Service.

3. Data Usage by Contextora

3.1 Contextora will only use User-imported data to provide and improve the Service as described in our Privacy Policy.

3.2 Contextora will not sell, rent, or otherwise distribute User-imported data to third parties without the User's explicit consent, except as required by law.

4. User Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

5. User Accounts and Connected Accounts

5.1 User Accounts: To access the Service, you must create a Contextora account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

5.2 Connected Accounts: By connecting any AI models and platforms to the Service, you explicitly represent and warrant that:

• a) You are the rightful owner of such accounts or have been granted explicit permission by the rightful owner to connect and use these accounts with our Service.
• b) You have the authority to grant Contextora access to these Connected Accounts as outlined in our Privacy Policy and these Terms and Conditions.
• c) You understand and agree that by connecting these accounts, you are assuming full responsibility for compliance with the terms of service, privacy policies, and any other relevant agreements or policies associated with these Connected Accounts.
• d) Your use of Connected Accounts through our Service complies with both our Terms and Conditions and the terms of service of the Connected Accounts.
• e) You agree to indemnify and hold Contextora harmless from any claims, damages, or legal actions arising from your connection and use of Connected Accounts, including any violations of the Connected Accounts' terms of service or other policies.

6. Modifications

6.1 Contextora reserves the right to modify these Terms of Service at any time. Users will be notified of any material changes.

7. Limitation of Liability

7.1 To the maximum extent permitted by applicable law, Contextora, its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• a) Your use or inability to use the Service;
• b) Any unauthorized access to or use of our servers and/or any personal information stored therein;
• c) Any interruption or cessation of transmission to or from the Service;
• d) Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party;
• e) Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Service.

7.2 In no event shall Contextora's total liability to you for all damages, losses, and causes of action exceed the amount you have paid Contextora in the last six (6) months, or, if greater, one hundred dollars ($100).

8. Disclaimer of Warranties

8.1 The Service is provided on an "as is" and "as available" basis. Contextora expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Contextora makes no warranty that:

• a) The Service will meet your requirements;
• b) The Service will be uninterrupted, timely, secure, or error-free;
• c) The results that may be obtained from the use of the Service will be accurate or reliable;
• d) The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

9. Indemnification

9.1 You agree to defend, indemnify, and hold harmless Contextora, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• a) Your violation of these Terms of Service;
• b) Your use of the Service, including, but not limited to, your User data, any use of the Service's content, services, and products other than as expressly authorized in these Terms of Service;
• c) Your use or reliance on any third-party content, products, or services in connection with the Service.

10. Governing Law and Jurisdiction

10.1 These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Colorado.

10.2 Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Service shall be instituted exclusively in the federal courts of [insert applicable jurisdiction] or the courts of the State of [insert state], although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Service in your country of residence or any other relevant country.

By using the Contextora SaaS application, you agree to these Terms of Service and affirm that you have the right to use all data you import into the Service.

11. Prohibited Activities

Users agree not to engage in any of the following activities:

• a) Violating any laws or regulations
• b) Infringing on intellectual property rights
• c) Attempting to gain unauthorized access to the Service or other users' accounts
• d) Using the Service for any illegal or unauthorized purpose
• e) Transmitting any viruses, malware, or other harmful computer code

12. Intellectual Property Rights

All content, features, and functionality of the Service are owned by Contextora and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

13. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which can be found on our website.

14. Termination

We reserve the right to terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms and Conditions or is harmful to other users of the Service, us, or third parties, or for any other reason.
